Terms of Service

Last updated: October 19, 2026

In force from October 19, 2026 to October 20, 2026. Current terms

1. About the service

Inzenda is a digital service by Inzenda AB (559480-1580) for Swedish limited companies. In the service the company can keep its books, run payroll and prepare the employer declaration (AGI), VAT returns, the annual report under K2 and the income tax return (INK2), and send them digitally to Bolagsverket and Skatteverket. Inzenda signs nothing and files nothing in its own name: every annual report and return is signed and filed by the person authorised for the company, in Bolagsverket's and Skatteverket's own services. Inzenda is not an auditor, an accounting firm or a tax agent. Where the company has authorised Inzenda as a read-only agent (läsombud) at Skatteverket, Inzenda reads the company's tax account, customer events and return status, but cannot file or change anything in the company's name. Digital filing of the annual report for companies that have an auditor is offered today only to some companies with a subscription. The auditor files the audit report with Bolagsverket from their own software; Inzenda does not audit and does not write the audit report.

2. User responsibility

The company is required to keep books, and the board and the managing director are responsible for the company's books, annual report and tax returns (Bookkeeping Act chapter 4 section 1, Companies Act chapter 8 sections 4 and 29, Tax Procedure Act). That responsibility stays with the company when it uses Inzenda. Inzenda computes vouchers, year-end entries, the annual report and returns from the data the company enters and the choices it makes. The company is responsible for the data being correct and complete, for reviewing every document and for approving every filing before it is sent, and checks in the service that the authority has received it. The figures in the annual report and the returns, such as the INK2 fields, the VAT return boxes and the AGI entries, are derived from and affected by the company's transactions and choices, and the company reviews and approves them before signing or sending. Values Inzenda fills in automatically, with or without AI, or reads from bank files, PDF statements and receipts, such as categories, VAT rates, amounts, suggested tax deductions and fields in the annual report and returns, are suggestions, and a suggestion the company approves, or leaves unchanged and sends, is data the company has entered. Tax must be withheld from pay according to Skatteverket's decision on the employee's preliminary tax, which the employer can obtain through Skatteverket's service 'Fråga om skatteavdrag' or from the employee, who can show the decision. Where the pay is not the recipient's main income, 30 percent is generally withheld. Where the employer has not obtained the information from Skatteverket, and the employee has not shown their decision although the employer asked for it, an increased deduction must be made (Tax Procedure Act chapter 11 sections 16, 20 and 21). Inzenda suggests a deduction based on Skatteverket's answer, where Inzenda can obtain it, and on the data the company enters and the choices it makes. A tax table Inzenda shows from the municipality and parish of registration is only a suggestion. The company chooses, and is responsible for, the deduction made and reported. If the deduction is too low, the company may have to pay the amount that should have been withheld (Tax Procedure Act chapter 59 section 2). Inzenda does not give accounting or tax advice. For questions the service does not cover, the company should consult an accountant or an auditor.

A user can connect an AI assistant, for example Claude or ChatGPT, to a company in Inzenda. What the assistant enters, changes or prepares in Inzenda is information the company has provided, as if the user had done it. The assistant's answers and suggestions are not Inzenda's advice. Inzenda is responsible under section 3 for the figures the service calculates, but not for what the assistant writes or suggests. An assistant cannot send anything to Bolagsverket or Skatteverket, pay or sign. An authorised user does that themselves. Payment is always made by the user themselves on inzenda.se and with Stripe. The assistant can create a link to the payment page but never receives card details.

3. Limitation of liability

Inzenda is responsible for the service working as these terms describe and for damage Inzenda causes through negligence. Inzenda is not liable for indirect loss, such as lost profit. Nor is Inzenda liable for late filing fees, tax surcharges, interest or other charges or taxes caused by data the company entered or approved, by the company not signing or filing in time, or by Bolagsverket's or Skatteverket's services being unavailable. Inzenda is not liable for a suggestion the company approved, or sent without changing it, being correct or right for the company, but remains liable, within the limit below, for errors that arise when the service through negligence calculates wrongly from the company's data. Inzenda's total liability under these terms, the DPA included, is limited to the fees the company paid Inzenda in the twelve months before the event that caused the damage. These limits do not apply in case of intent or gross negligence, or where liability cannot be limited by law. The company must notify Inzenda of an error in writing within a reasonable time after discovering it.

4. Pricing and payment

Free: PDF generation and download is always free, with no digital filing. One-shot (598 SEK excl. VAT, launch price 299 SEK for the first year): digital filing of one annual report and one INK2 tax return to Bolagsverket and Skatteverket, for one company and one fiscal year. One-time payment, non-refundable once filing has been initiated. Subscription (199 SEK/month or 1,990 SEK/year excl. VAT, launch price 99.50 SEK/month or 995 SEK/year for the first year): recurring employer declaration (AGI) and VAT return filings, plus the annual report and INK2 tax return, see section 5 below. All prices are excluding VAT. 25% VAT is added at checkout by our payment provider Stripe, since our customers are limited companies (aktiebolag). The 50% launch discount applies for the first 12 months from when you become a customer and then automatically reverts to the regular price.

5. Subscription, recurring billing and renewal

The subscription is billed monthly or annually and automatically renews at the end of each period at the same price and payment method, until you cancel it. You can see your next renewal date and amount at any time in the customer portal. If Inzenda changes the regular price, we will notify you with reasonable advance notice before the change takes effect for your next renewal, so you have time to cancel if you do not accept the new price. The launch price (50% discount) applies only for the first 12 months and then reverts to the regular price at your next renewal after that period. Because this reversion is itself a price increase, we will remind you before the first-year discount ends, with reasonable advance notice, so you can review the regular price and cancel before it applies if you choose.

6. Cancellation and termination

You can cancel your subscription at any time via the customer portal or by contacting support. Cancellation takes effect at the end of the period you have already paid for. You keep full access to the subscription's features until the end of that period, and you will not be charged for the next period. We do not refund the unused portion of an already-paid period if you cancel early, unless stated otherwise. The one-shot purchase is not a subscription and cannot be canceled, it covers a single filing and is non-refundable once the filing has been initiated.

7. What each plan includes

The one-shot purchase entitles you to digitally file one (1) annual report with its INK2 tax return for the fiscal year you paid for. An active subscription, whether billed monthly or annually, entitles you to recurring digital filing of the employer declaration and VAT return during the subscription period, as well as digital filing of that year's annual report and INK2 tax return. If your subscription stops being active (for example due to cancellation or a failed payment) you lose access to these digital filing features from the end of that period. Drafts and reports already filed with Bolagsverket or Skatteverket are not affected, your account and company data and previously generated documents remain available, and you can continue to download PDF versions free of charge. New digital filings require a new one-shot purchase or a reactivated subscription. The one-off purchase does not cover the annual report of a company that has an auditor; it is included only in the subscription.

Trial: Inzenda may give a company a subscription free of charge until a stated date. The trial ends by itself, nothing is charged and no subscription is taken out. Inzenda may extend it, and may end it early: at once in case of misuse, otherwise with 30 days' notice. A filing is included if it was sent to Bolagsverket or Skatteverket during the trial. It can then be completed, and sent again after an injunction (föreläggande), even after the trial has ended. After that, what is said above for a subscription that has ended applies: PDF versions and the books remain available free of charge.

8. Business customers and the right of withdrawal

Inzenda's services are directed at limited companies (aktiebolag) acting in their business capacity, not at consumers. The Swedish Distance Contracts Act's consumer right of withdrawal (a 14-day cooling-off period for distance contracts) therefore generally does not apply to purchases and subscriptions made through Inzenda. If you are unsure how this affects your specific purchase, contact support before completing payment.

9. Availability

We aim for 24/7 availability but cannot guarantee uninterrupted service. Scheduled maintenance may occur. File with a margin before the deadline. If Inzenda is unavailable, the company can file directly in Bolagsverket's and Skatteverket's own services.

10. Changes

We may change these terms, the DPA included. We give notice of material changes at least 30 days before they take effect, by email to the account's email address and in the service. If you do not accept a change you may terminate the service before it takes effect, and we then refund any prepaid fee for time not used. If you continue to use the service after the change has taken effect, you accept the new terms. Changes required by law or a decision of an authority may apply sooner. Price changes for recurring subscriptions are notified under section 5.

11. Personal data and the data processing agreement

Whoever creates an account and adds a company confirms that they are authorised to contract for the company; these terms, the DPA included, then apply between the company and Inzenda. When your company enters personal data about other people into the service, for example employees, board members or counterparties in transactions, the company is the controller and Inzenda is its processor. Our data processing agreement (DPA) governs that processing and forms part of these terms. How we process data about you as an account holder is described in our privacy policy.

When a user connects an AI assistant to a company, the company instructs Inzenda to disclose the company's data to the assistant, no more than the user can access, under section 2.7 of the DPA. The provider of the assistant receives the data under the company's or the user's own agreement with that provider, not as Inzenda's sub-processor. Inzenda is responsible for the disclosure taking place under section 2.7 of the DPA, but not for the provider's processing. Personal identity numbers are never disclosed to an assistant. The company is responsible for the users it gives access, including for the assistants they connect.

AI suggestions on import are on from the start for companies added to Inzenda and can be turned off.

12. The books: storage, export and closing

The company's accounting records in Inzenda (vouchers with their history, transactions, receipts and other supporting documents, payroll runs and payroll records, annual reports, tax returns and the system documentation in force for each year) are stored electronically in the EU: the database in Frankfurt and the files in Stockholm. The company can download the books for each fiscal year at any time, also without a subscription (general journal, general ledger, SIE 4 file, receipts and documents). Inzenda recommends that the company downloads and keeps a copy after each fiscal year. The accounting records cannot be deleted before the retention period has ended. When the company is closed in Inzenda the account loses access at once, and the copy the company downloaded is then its archive. Inzenda also keeps the accounting records on the company's behalf until 31 December of the seventh year after the end of the calendar year in which the last fiscal year ended (Bookkeeping Act chapter 7 section 2), and then deletes them. During that time Inzenda provides a full export on request within five working days to whoever shows that they represent the company or are to keep its accounting records, for example a liquidator, also after the company has been deregistered, and to an authority entitled to it. If Inzenda discontinues the service, Inzenda notifies the company at least three months in advance so that it can download its books.
