What happens now?
For a private limited company whose financial year started on 1 January 2025 or later. The annual report must reach Bolagsverket within seven months of the financial year end.
- 7 months after the financial year end
7,500 kr
If the annual report has not arrived, Bolagsverket decides a first late filing fee and sends a letter about it, often a few weeks later. For a financial year that followed calendar year 2025, the deadline was 31 July 2026.
- 2 months after the letter
+ 7,500 kr
If the annual report is still missing two months after the letter about the first fee was sent, a second fee follows. Check the date on the letter.
- 2 months after the next letter
+ 15,000 kr
Two months after the letter about the second fee, a third follows, 30,000 kr at most in total. If the annual report arrives before then, the company pays only the fees already decided.
- 11 months after the financial year end
Compulsory liquidation
Bolagsverket can start compulsory liquidation, for calendar year 2025 from about 1 December 2026. The company receives a liquidation notice (likvidationsföreläggande), which is served and published in Post- och Inrikes Tidningar. If a complete annual report arrives by the reply date in the notice, the case stops. No extension is possible.
- 15 months after the financial year end
Personal liability
The board and the managing director become personally liable for new debts the company takes on, until the annual report is in.
If the financial year started before 2025, the fees are 5,000, 5,000 and 10,000 kr.
A late annual report
is filed like any other.
Company number
We fetch the company, the board and the financial year from Bolagsverket, and suggest the year the company has not filed yet.
Last year's figures
If last year's annual report is on file at Bolagsverket, we read the comparative figures from it. You check them and change anything that is wrong.
The AGM, now
If the annual general meeting has not been held, you can hold it now. The date only has to be after the financial year end.
Sign with BankID
The annual report goes to Bolagsverket and the INK2 to Skatteverket. You sign with BankID at the authorities.
Follow the case
Your dashboard shows the case status at Bolagsverket until the annual report is registered.

Better you know now than after you have paid.
Liquidation already decided
If Bolagsverket has already decided on liquidation, the liquidator signs the annual report. Inzenda does not support that yet, and the wizard stops at the company number so you do not pay for something we cannot do. The same goes for bankruptcy.
Companies with an auditor
Inzenda files annual reports without an auditor's report. If the company has an auditor, or needs one, we do not support it yet.
Fees already decided
A late filing fee that has already been decided stays. Filing stops the next one.
